Constitution of the Strathbungo Society

    Name
    The name of the society shall be the Strathbungo Society (hereafter referred to as the Society)
    Objects

  1. To advance citizenship and develop the community by encouraging all members of the community, including families, children, ethnic minorities, people with disabilities and the elderly to interact with the aim of improving the community both by bringing the community together and by promoting the provision, maintenance or improvement of public amenities within or in the vicinity of the Strathbungo area.; and
  2. To promote the conservation of local architectural and environmental heritage, including the maintenance and improvement of the built and natural environment.

    Powers
    To further the above objects the Society may

  1. Collect and disseminate information on all matters affecting the objects and exchange such information with other bodies having similar aims
  2. Cause to be prepared and printed, or otherwise reproduced and circulated, free of charge of for payments, such papers, books, periodicals, pamphlets or other documents or films or recorded tapes as shall further the objects.
  3. Raise funds and invite and receive contributions from any person or persons by way of subscription or otherwise, and invest any funds not immediately required for the objects.
  4. Bring together in conference and work in liaison with representatives of voluntary organisations, government departments, local and other statutory authorities and individuals.
  5. Arrange and provide for or join in arranging and providing for the holding of events, entertainments, conferences, exhibitions, meetings, lectures, classes, seminars and training courses.
  6. Establish sub groups when and where considered with such powers as may be considered by the Society to be appropriate.
  7. Take out memberships of such organisations as are considered to be in the interests of and compatible with the objects of the Society
  8. Borrow or raise money for the objects and accept gifts on such terms and on such security as shall be deemed to be appropriate
  9. Employ and pay any person or persons to supervise, organise and carry out the work of the Society
  10. Do any other lawful thing which is conducive to attaining the objects of the Society.
    Membership

  1. Membership of the Strathbungo Society shall be open to those who live, work or have business interests in the Strathbungo area. The boundaries of the area are:
  2. Pollokshaws Road, Titwood Road, Carswell Gardens, Moray Place, Nithsdale Drive, March Street, Nithsdale Street and include all the property fronting on to Carswell Gardens.
  3. Full membership is available to adults over the age of 18. A reduced household membership shall be available and will confer a single voting right per household.
    Membership Fee
    Membership shall be conferred on payment of an annual membership fee to be recommended by the Management Committee annually, and if different from the preceding year with approval by members of the Society at a properly constituted AGM/SGM.
    Election of Office Bearers

  1. At the Annual General Meeting the members of the Society shall elect a Chairperson, Secretary and Treasurer.
  2. The office bearers shall hold office until the next annual general meeting but shall be eligible for re-election.
  3. The office bearers shall be ex-officio members of the management committee and of any other committee established.
    Management Committee

  1. The policy and management of the affairs of the Society shall be directed by a management committee which shall meet not less than three times a year and shall consist of not less than five members in addition to the office bearers and not more than 20
  2. The members of the management committee shall be elected at the annual general meeting of the Society and shall be elected for one year. They shall be eligible for re-election at the next annual general meeting.
  3. The management may appoint such special or standing committees or sub-committees as may be considered appropriate and may determine their terms of reference, powers, duration and composition.
  4. The management committee may fix the remuneration of any paid employees who shall not be members of the management committee
  5. The management committee shall have the power to co-opt additional members to the committee who shall have no voting rights.
  6. The management committee shall have no power to change the constitution except through a properly constituted general meeting.
    General Meetings

  1. Each annual general meeting will be held not later than 15 months after the holding of the preceding one and at such time and place as the management committee shall determine.
  2. At least 21 clear days’ notice must be given in writing by the secretary and displayed in public places
  3. The business of each annual general meeting shall include the approval of the accounts, consideration of the annual report and elections, as well as the transaction of other items of business which may from time to time be deemed appropriate.
  4. The chair of the management committee may at any time call a special general meeting of the Society, and must to so in the case of the Society
  5. undertaking significant major expenditure programmes
  6. proposing to carry out major changes to the environment in Strathbungo
  7. The secretary shall call a special general meeting within 14 days of receiving a written request to do so signed by not less than 25 members and giving reasons for the request.
    Rules of procedure at all meetings

  1. A quorum at a meeting of the management committee shall be six members and a quorum at the annual general meeting shall be 25.
  2. All questions arising at any meeting shall be decided by a simple majority of the votes cast. The person taking the chair at the meeting shall have a casting vote.
  3. The management committee shall ensure that minutes are kept of all general meetings and all meetings of the management committee.
  4. The management committee shall have the power to adopt such standing orders for the Society and its committees but the Society in annual general meeting may issue policy directions in relation to the content of standing orders which will bind the management committee.
    Finance

  1. All funds raised by the Society shall be applied for the objects and no other purpose.
  2. The treasurer shall keep proper accounting records and shall prepare proper accounts annually and at such other intervals as the management committee may direct.
  3. A statement of accounts for the last financial year shall be presented by the management committee to the annual general meeting.
  4. A bank account shall be held in the name of the Society and the management committee shall authorise in writing three members of the committee, one of whom shall be the treasurer, to sign cheques on behalf of the Society. All cheques must be signed by not less than two of the three authorised signatories.
    Property
    The title to all property, heritable and moveable which may be acquired by or on behalf of the Association shall be vested in the names of the chair, secretary and treasurer for the time being.
    Dissolution
    In the event of the society being dissolved, any assets or funds remaining after the satisfaction of all debts and liabilities of the society shall not be transferred to members but shall be dispersed as follows:

  1. If sufficient members are present at a properly constituted meeting, the meeting may only vote for dispersal to one of the sources noted below, A, or B
  2. If insufficient members are not present or a properly constituted meeting cannot be held, dispersal shall be by giving the groups listed the option to accept the funds, property or goods of the Society in the order A then B.
    1. Another society or group whose constitution includes the conservation of the Strathbungo Heritage and which is a recognised charity.
    2. Another body with similar charitable objects to that of the Strathbungo Society.
